1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Customer”) and Scarif One Ltd, a UK-registered company (“Scarif One”, “we”, “us”). By creating an account, accessing the service, or installing the self-host package, you accept these Terms in full. If you don’t accept them, don’t use the service.
2. The service
Scarif One provides AI-powered marketing software, available either as a hosted SaaS subscription (running on our infrastructure) or as a one-time-purchase self-host package (running on yours). Specific features and quotas vary by plan tier as described at /pricing.
3. Your account
You must be at least 18 years old and have authority to bind your business. You are responsible for keeping your password secret and for any activity under your account. Notify us at security@scarifone.com immediately if you suspect unauthorised access.
You may invite team members up to your plan’s seat limit. You remain responsible for their use of the service.
4. Subscription, billing, and trial
Hosted plansare billed monthly or annually in advance via Stripe. Annual billing receives a 17% discount. The 14-day free trial requires no payment method; if you don’t pick a paid tier by day 14, your account downgrades to the Free tier. Failed payments suspend service after a 7-day grace period.
The Sovereignty Package is a one-time purchase of £999 (ex VAT). The optional Support Subscription is £199/year and recurs annually. The Sovereignty Package includes free updates within the v1.x major version; v2 will be a paid upgrade (terms announced separately).
Refunds: hosted plans are non-refundable mid-cycle. The Sovereignty Package has a 30-day money-back guarantee from purchase date — email refund@scarifone.com for a full refund.
5. Acceptable use
You agree not to:
- Resell, sublicense, or rent Scarif One to third parties (the Sovereignty agency-licensing exception is described separately on /sovereignty).
- Reverse-engineer or decompile the software except where allowed by mandatory UK law.
- Use the service to generate, publish, or distribute illegal content (incl. defamation, IP infringement, malware, or content that violates the policies of integrated platforms like Meta or Google Ads).
- Probe, scan, or test the vulnerability of the service except via the responsible-disclosure programme at security@scarifone.com.
- Attempt to circumvent spend caps, plan quotas, or rate limits.
- Use the service to send unsolicited marketing communications in violation of UK / EU e-privacy rules.
6. Your content
You retain all ownership of content you upload (brand voice docs, products, customer data, generated assets — “Customer Content”). You grant us a limited licence to process Customer Content solely as needed to provide the service, secure it, and prevent abuse. We do not train AI models on your content.
You represent and warrant that you have the rights to all Customer Content you upload, including the right to grant the processing licence above.
7. AI-generated outputs
AI-generated content (“Outputs”) is provided as-is. AI may produce inaccurate, biased, or otherwise problematic content; you remain responsible for reviewing every output before publishing or relying on it. We make no warranty that Outputs are fit for any particular purpose, and we’re not liable for losses arising from your decision to publish an unreviewed Output.
You own your Outputs to the extent permitted by underlying-AI-provider terms (currently Google’s Gemini API terms), with the same exception as in §6: you must have rights to the inputs you fed into the generation.
8. Service availability
We aim for 99.5% monthly uptime on the hosted plan, measured at the application layer. Scheduled maintenance is announced at status.scarifone.com. We don’t commit to a specific SLA on Free or Solo plans; Enterprise plans get a written SLA.
Self-host availability depends entirely on your infrastructure — we’re not responsible for your hardware, network, or third-party service outages.
9. Third-party services
Scarif One integrates with third-party platforms (Shopify, Meta, Klaviyo, Mailchimp, Judge.me, Google Ads, TikTok, Pinterest, LinkedIn, Stripe, etc.). Your use of those platforms is governed by their own terms — we don’t control them and aren’t responsible for their actions, outages, or policy changes.
10. Confidentiality
Each party will protect the other’s confidential information with the same care it uses for its own (and at least reasonable care). This applies to roadmaps, pricing, customer lists, and any other non-public information shared during the engagement.
11. Warranties + disclaimer
We warrant that we’ll provide the service with reasonable care and skill. To the maximum extent permitted by law, all other warranties (express, implied, statutory, including merchantability and fitness for purpose) are disclaimed.
12. Liability
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence, (b) fraud, (c) anything else that can’t be limited under UK law.
Subject to that, our total aggregate liability for any claim related to the service is capped at the greater of: (i) £100, or (ii) the fees you paid us in the 12 months preceding the event giving rise to the claim. We’re not liable for indirect, consequential, or special damages, or for lost profits, lost data, or business interruption.
13. Indemnity
You will indemnify us against third-party claims arising from your Customer Content or your breach of these Terms. We will indemnify you against third-party IP-infringement claims targeting the Scarif One platform itself (excluding Customer Content and integrated third-party services).
14. Termination
Either party can terminate at any time. You can cancel from /billing in the dashboard or by emailing us. We can suspend or terminate for breach of these Terms with reasonable notice (immediate notice for serious or security-related breaches).
On termination: hosted-plan access ends at the end of the paid period; the Sovereignty self-host install continues to work indefinitely (Sovereignty is a one-time licence). We retain data per the retention policy in our Privacy Policy.
15. Changes to these Terms
Material changes are announced 30 days before they take effect via email to your notification address. Continued use after the effective date is acceptance. If you don’t accept, terminate within the notice period for a pro-rata refund of any unused subscription period.
16. Governing law + disputes
These Terms are governed by English law. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that we may seek injunctive relief in any competent jurisdiction to protect our IP or confidential information.
